Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of www.enjoyreference.com, any purchase you make through it, and any purchase you make directly from us at an in-person retail activation or other in-person event (together, the "Services"), operated by The Reference Company ("Reference," "we," "us," or "our"), a Delaware company. By using the Services or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

1. Eligibility

You must be at least 18 years old and reside in the United States to purchase from the Site. By using the Services, you represent that you meet these requirements and that any information you provide is accurate.

2. Your Account

You may create an account to speed up checkout and track orders. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at hospitality@enjoyreference.com if you suspect unauthorized use. We may suspend or close accounts that violate these Terms.

3. Products and Descriptions

We work to describe our fragrances and beauty products accurately, including notes, ingredients, and sizes. Colors and packaging may vary slightly from what appears on your screen. Scent is personal and experienced differently by each person; descriptions of how a fragrance develops are not guarantees. Review the ingredient list before use if you have allergies or sensitivities, and discontinue use if irritation occurs. Our products are cosmetic products and are not intended to diagnose, treat, cure, or prevent any disease.

4. Orders, Pricing, and Payment

All orders are offers to purchase and are subject to our acceptance. We may refuse or cancel any order, including for suspected fraud, pricing or inventory errors, or quantities that suggest unauthorized resale. If we cancel an order after payment, we will issue a full refund.

Prices are listed in U.S. dollars and may change at any time without notice, though changes will not affect orders already accepted. Prices do not include taxes or shipping, which are calculated at checkout. In the event of an obvious pricing error, we may cancel the order and refund you even after confirmation.

Payment is due at the time of order. We accept the payment methods displayed at checkout, processed through Shopify and our third-party payment providers. By submitting payment information, you represent that you are authorized to use the payment method.

5. In-Person Sales and Retail Activations

We sell products at in-person retail activations, some hosted with retail partners. When you buy directly from Reference at an activation — through our register or point-of-sale system — these Terms apply, and our return policy in Section 7 applies to your purchase; keep your receipt. When you buy Reference products through a retail partner's own register or store, that sale is between you and the partner, and the partner's terms, receipt, and return policy govern; returns of those purchases must be handled through the partner.

6. Shipping and Delivery

We currently ship within the United States only. Orders are processed within 1 to 7 business days. Shipping costs and estimated delivery times are shown at checkout, and standard shipping is free on orders of $100 or more. Delivery estimates are not guarantees; carrier delays can occur. Risk of loss and title pass to you when the package is delivered to the carrier, though we will reasonably assist you in resolving lost or damaged shipments. Fragrance products contain alcohol and are subject to carrier restrictions; certain shipping methods (such as air transport or expedited services) may be unavailable, and some orders may ship by ground only.

7. Returns and Refunds

If you are not satisfied with your purchase, you may return unopened, unused products in their original packaging within 14 days of delivery (for online orders) or purchase (for in-person purchases from Reference) for a refund of the purchase price. Opened or used products may not be returned unless they arrived damaged or defective. To start a return, email hospitality@enjoyreference.com with your order number or receipt. Return shipping costs are the customer's responsibility unless the product arrived damaged, defective, or in error.

Refunds are issued to the original payment method within 14 business days of our receipt and inspection of the return. Original shipping charges are non-refundable except where the return results from our error. If your order arrives damaged or incorrect, contact us within 7 days of delivery with photos and we will replace the item or refund you in full.

8. Promotions, Discount Codes, and Giveaways

Promotional offers and discount codes are subject to the terms stated with the offer, cannot be combined unless expressly permitted, have no cash value, and may be modified or withdrawn at any time. We may cancel orders that misuse promotional codes. Contests, giveaways, and sweepstakes — including those run at retail activations — are governed by the official rules posted or made available with each promotion; no purchase is necessary to enter unless otherwise stated in those rules, and a purchase does not improve odds of winning.

9. Text Message (SMS) Program Terms

By opting in to Reference's text program — through the Site, at checkout, or at an event — you consent to receive recurring automated marketing and transactional text messages from Reference at the number you provided. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP at any time to cancel and HELP for assistance, or contact hospitality@enjoyreference.com. Carriers are not liable for delayed or undelivered messages. We may terminate the program or your participation at any time. Your mobile information will be handled as described in our Privacy Policy.

10. Intellectual Property

The Services and everything in them — including the REFERENCE name and logo, THE SOUL OF THE GLOBE, product names, text, images, photographs, designs, and software — are owned by The Reference Company or its licensors and are protected by trademark, copyright, and other intellectual property laws. We grant you a limited, non-exclusive, revocable license to use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

11. User Content and Reviews

If you submit reviews, photos, comments, or other content to the Site or tag us on social media, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, display, and distribute that content in connection with our business, including in marketing. You represent that your content is your own, is accurate, and does not violate anyone else's rights. We may remove any user content at our discretion.

12. Prohibited Uses

You agree not to use the Services to: violate any law; infringe others' rights; transmit malware or interfere with the Site's operation; scrape, harvest, or collect data without permission; place fraudulent orders; misrepresent your identity; or purchase products for unauthorized resale. We may investigate violations and suspend access.

13. Electronic Communications

By providing your email address or phone number, you consent to receive transactional communications from us electronically (such as order confirmations). Marketing emails and texts are sent only as permitted by law and by Section 9, and you may opt out at any time via the unsubscribe link or by replying STOP to texts.

14. Third-Party Services

The Services may contain links to or integrations with third-party websites and services, including payment processors, retail partners, and social platforms. We are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

15. Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE REFERENCE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Dispute Resolution; Arbitration; Class Action Waiver

Before filing any claim, you agree to contact us at legal@enjoyreference.com and give us 180 days to resolve the dispute informally. If we cannot resolve it, any dispute arising out of or relating to these Terms, the Services, or any purchase will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the county where you reside or another mutually agreed location, or remotely. Each party bears its own attorneys' fees except where the applicable rules or law provide otherwise.

YOU AND REFERENCE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Claims may be brought only in an individual capacity. Either party may bring an individual claim in small claims court instead of arbitration, and either party may seek injunctive relief in court for infringement of intellectual property rights.

You may opt out of this arbitration agreement by emailing legal@enjoyreference.com within 30 days of first accepting these Terms, with your name, address, and a clear statement that you wish to opt out of arbitration.

18. Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 17. For any matter not subject to arbitration, you and Reference consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to us or other users. Sections that by their nature should survive termination (including Sections 10, 11, and 15 through 18) will survive.

20. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any posted policies, are the entire agreement between you and Reference regarding the Services. We may update these Terms from time to time; the effective date above reflects the latest version, and continued use of the Services after changes take effect constitutes acceptance.
